Terms of Service

Effective date: October 12, 2026. Last updated: October 12, 2026.

These Terms of Service ("Terms") are an agreement between you (the account holder, "you") and The Weird Canadian, a business operated by Cody Johnston, Box 74, Lewisporte, NL A0G 3A0, Canada ("we", "us"), which provides BriefLasso (the "Service"). Contact: hello@brieflasso.com. By creating an account or using the Service you agree to these Terms. Nothing in these Terms excludes or limits any right or remedy that cannot be excluded or limited under the consumer protection law that applies to you; every limitation below applies only to the extent permitted by law.

1. The service

BriefLasso helps designers collect content from their clients. You're responsible for what you ask clients for and for having a lawful basis to email them. Reminders are sent on your behalf only to clients you add. You must be at least 18 and able to form a binding contract, and you're responsible for keeping your login secure and for all activity on your account.

2. Trial, seats and limits

New accounts get a 14-day free trial with Solo limits; no card is needed. When the trial ends, existing data stays visible but sending links and reminders pauses until a plan is chosen. Solo and Lifetime Solo: 1 seat, 10 active projects, 5 GB of uploads. Studio: up to 5 seats, unlimited projects, 25 GB, white-label client pages.

3. Plans, billing and refunds

Solo US$15/month, Studio US$39/month, Lifetime Solo US$129 one-time (limited to 100 buyers; "lifetime" means for as long as we operate the Service). The Weird Canadian is the seller; payments are processed by Stripe, Inc. on our behalf. Prices are in US dollars and exclude applicable taxes (such as GST/HST, VAT or US sales tax), which are added at checkout where required. You can change plan, update your card, see invoices or cancel through the billing portal linked from your Billing page. Monthly plans renew automatically until cancelled; cancel anytime and keep access to the end of the paid period. Refunds: email hello@brieflasso.com within 14 days of your first payment for a full refund of that payment. Otherwise, fees are non-refundable except where required by law. We may change prices with at least 30 days' notice; changes apply from your next billing period.

4. Your content and your clients' content

You and your clients own your content. You give us a limited licence to host, store, copy, transmit and process it only to provide and secure the Service. You are solely responsible for all content you and your clients upload or submit through your account. You represent and warrant that you have all rights, licences and consents needed to upload, collect and process that content (including any personal information about your clients), and that it does not infringe anyone's rights or break any law.

5. Acceptable use

You must not use the Service to: upload or share unlawful, infringing, defamatory, obscene or harmful content; distribute malware; send spam or unsolicited messages, or email people with whom you have no business relationship; violate anti-spam laws (including CASL and CAN-SPAM) or privacy laws; attempt to gain unauthorised access to, disrupt, overload or reverse-engineer the Service; or resell the Service without our written permission.

6. Suspension and termination

We may suspend or terminate your account or remove content, with or without notice, if we reasonably believe you have breached these Terms, if required by law, or to protect the Service, other users or third parties. You may close your account at any time. On termination your right to use the Service ends; we may delete your content after 30 days. Sections 4, 7–13 and 15–17 survive termination.

7. Backups and data loss

The Service is not a backup or archival service. You are responsible for keeping your own copies of all content. While we take reasonable steps to protect data, we do not guarantee that content will never be lost, corrupted or become unavailable, and, to the extent permitted by law, we are not liable for any loss or corruption of data.

8. Email delivery and reminders

We do not guarantee that any email, link or reminder will be sent, delivered, received or read, or delivered on time. Emails may be delayed, filtered as spam or fail. Do not rely on the Service for deadlines or anything with legal, financial or safety consequences.

9. Third-party services

The Service relies on third-party providers, including Stripe (payments), Cloudflare (file storage), Render (hosting), Neon (database) and Resend (email delivery). Their services are governed by their own terms. To the extent permitted by law, we are not responsible for their acts, omissions, outages or security incidents.

10. Disclaimer of warranties

To the extent permitted by law, the Service is provided "as is" and "as available", without warranties or conditions of any kind, express or implied, including any implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, title, non-infringement, or that the Service will be uninterrupted, secure or error-free.

11. Limitation of liability

To the extent permitted by law: (a) neither The Weird Canadian nor Cody Johnston will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill or data, however caused and even if advised of the possibility; and (b) our total aggregate liability arising out of or relating to the Service or these Terms is limited to the greater of the fees you paid us in the 12 months before the event giving rise to the claim, or US$50. These limits apply to all theories of liability, including contract, tort (including negligence) and statute.

12. Indemnification

To the extent permitted by law, you will defend, indemnify and hold harmless The Weird Canadian and Cody Johnston from any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising from your content or your clients' content, your use of the Service, your breach of these Terms, or your violation of any law or third-party right.

13. Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages of hosting, network, email or payment providers, cyberattacks, power failures, natural disasters, storms, pandemics, labour disputes or acts of government.

14. Copyright complaints (notice and takedown)

If you believe content on the Service infringes your copyright, email hello@brieflasso.com (subject "Copyright notice") or write to Box 74, Lewisporte, NL A0G 3A0, Canada, including: identification of the work; the location (URL) of the allegedly infringing material; your contact details; a statement of good-faith belief that the use is not authorised; and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorised to act for the owner, with your physical or electronic signature. We will respond to notices in line with the Canadian Copyright Act notice-and-notice regime and, where applicable, the US Digital Millennium Copyright Act, and may remove content and terminate repeat infringers.

15. Changes to these Terms

We may update these Terms from time to time. We'll post the new version here with a new "Last updated" date and, for material changes, notify account holders by email or in the app at least 14 days before they take effect. Continuing to use the Service after changes take effect means you accept them.

16. Governing law and venue

These Terms are governed by the laws of the Province of Newfoundland and Labrador and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any mandatory consumer-protection rights you have to sue where you live, the courts of Newfoundland and Labrador have exclusive jurisdiction over any dispute arising from these Terms or the Service.

17. General

Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and us about the Service and replace any prior agreements. Severability. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest of these Terms remain in effect. No waiver. Failing to enforce a provision is not a waiver. Assignment. You may not assign these Terms without our consent; we may assign them in connection with a sale or transfer of the Service. Client emails. Reminder emails identify you and us, include our mailing address, and contain a one-click link that lets your client stop reminders.
